Default Putting the Brakes on the GM IPO Fervor

Today marks a turning point in one of the most compelling stories in the history of American business.

Investors are driving shares of remodeled General Motors Co. off the lot. Trading starts at the opening bell. Refurbished by the government and taxpayers, the newly public GM isn't exactly new. But it has that new-company smell—exactly the kind that investors think will make them rich.

I will try to spare you from more car metaphors, except for this one: GM is more like a used car that was all spruced up as Wall Street investment banks worked to burnish the auto maker's image. Roadshows and strong quarterly numbers helped stir interest in the formerly bankrupt company. That translated into a bigger stock offering and higher price.

Unlike most used cars, the new shares don't come with a 90-day warranty.

Like most of us who get excited about buying a car, we get a little swept up in the moment. Long-anticipated and high-profile initial public offerings are no different. That is why it might help to revisit GM's initial public offering prospectus.
